A private limited company's name may need to be changed for a variety of reasons, including a shift in the company's mission, a change in management, rebranding, and so on. With the agreement of the shareholders and the Ministry of Corporate Affairs, a private limited company's name can be changed at any time (MCA). A special resolution of the shareholders and approval from the MCA are necessary to alter the name of a private limited company. A private limited company's legal entity or existence as a corporate entity is unaffected by its name change. A corporation's name change does not result in the formation of a new company or organisation. As a result, the change of business name will NOT: 1. Affect any of the firm's rights or duties 2. . Make any legal action taken by or against the corporation null and void. 3. Any legal procedures by or against the firm that are underway in the previous name will not be affected; they will be continued in the old name.

CHANGE IN COMPANY NAME
To the Registrar of Companies (RoC), changing your name is no small matter. As you've already incorporated, you're aware of the rules involved in selecting a name for your company. The same applies for changing your name, too. The procedure is well-defined and to be followed strictly. And just in case you haven't complied with all RoC requirements, you can't go ahead with this until you do.
PROCEDURE FOR CHANGING COMPANY NAME
Step 1: Board Resolution
A Board meeting must be called to pass a resolution for the company’s name to be changed and to enable a Director or Company Secretary to apply to the MCA to see if the proposed name is available. A resolution to call an extraordinary general meeting to change the company’s name and amend the Memorandum of Association and Articles of Association can also be passed at the same Board meeting.
Step 2: Check Company Name Availability
Once a resolution confirming the availability of the proposed company name has been enacted, the authorised person can submit a name application to the MCA. The method for requesting a name is identical to the procedure for requesting a name when forming a private limited business. As a result, the company name must comply with the Companies Act 2013 Naming Guidelines.
Step 3: Pass Special Resolution for Company Name Change
The Company must hold an extraordinary general meeting and pass a special resolution for the change of company name, as well as any necessary revisions to the Memorandum of Association and Articles of Association, when the MCA approves a name.
Step 4: Application for approval of Company Name Change
The special resolution for the change of company name, as well as the application for approval of the change of company name, must be filed with the Registrar of Companies once it has been passed. Form 1B, together with the required cost, must be filled out to request a change of business name.
Step 5: Issuance of New Certificate of Incorporation
If the Registrar of Companies approves the business name change application, a new certificate of incorporation will be issued. It’s worth noting that when the Registrar of Companies issues a new incorporation certificate, the business name change is deemed to be complete and effective.
Step 6: Make Changes to MOA and AOA
Following the issuing of the new incorporation certificate, the new business name must be incorporated into all copies of the Registrar’s Memorandum of Association, Articles of Association, and Certificate of Incorporation.

Only two (2) E-forms must be submitted to ROC, the first being E-form MGT-14 for a special resolution voted at an Extraordinary General Meeting and the second being E-form INC-24 for a name change.
Note it: SRN of MGT-14 filled will be filled in E-form INC-24.
In most cases, the entire procedure takes no more than two months. However, because of the resubmission, the procedure may take longer.
If a company or its directors fail to comply with the conditions outlined above, the Registrar of Companies may revoke the altered name and/or dissolve the business. If a company or any officer of a company or any other person violates any of the provisions of this Act, the company and every officer of the company who is in default or such other person shall be fined up to ten thousand rupees, plus a further fine up to one thousand rupees for each day the contravention continues after the first.
A private limited company’s name can be altered at any time after it is formed. A special resolution of the shareholders and approval from the MCA are necessary to alter the name of a private limited company. A corporation’s name change does not result in the formation of a new company or organisation.
The government charges Rs. 1000/- for filing an RUN application. If the new name is distinctive and not the same as or similar to an existing business, LLP, domain, or trademark, the ROC will accept it.
Changing a company name on the Companies House registry normally takes three working days in total.
Section 13(3) – When a company’s name is changed under section 13(2), the old name must be replaced in the register of companies by the new name, which is done by the Registrar. A new certificate of incorporation with the new name must also be issued by the registrar.
